Terms of Service
These Terms of Service (“TOS”) govern your use of Badcook’n Studio’s website development, hosting, and support services (“Services”). By using our Services, you agree to these terms.
1. Scope of Services
Website Development
Template-Based Design: Websites are built using professionally designed templates from our library.
Pages: Packages include 3 to 12 pages; custom plans available upon request.
Content Integration: Client must provide all text, images, logos, and property information. We integrate provided content only.
Review & Revisions: One review session and one minor revision included per project phase. Additional revisions will be billed at our standard hourly rate. Minor revisions include small text or image edits; major changes require a new scope and estimate.
SEO & AEO Setup: Basic on-page SEO (meta titles, descriptions, heading tags) is included. We also implement AEO (Answer Engine Optimization) structures to improve visibility for AI-driven search engines.
Blog Service: We provide a blog module designed for search and answer engine visibility. While we provide the technical framework for high performance, content strategy and posting frequency are the client's responsibility unless a managed plan is purchased.
SSL Certificate: Provided and maintained for active monthly subscribers.
Privacy & Cookies: Standard privacy policy and cookie notification pages are included. Client is responsible for customizing these to ensure specific legal compliance for their industry/region.
Mobile Optimization: Responsive design included for mobile and desktop compatibility.
Website Hosting
Sites are hosted via our technology partner, Duda.
Clients have access to edit text, images, SEO keywords, analytics dashboard, form responses, and blog posts as per their plan.
Website Support
Support is provided via email. Response times may vary; urgent requests should be clearly marked.
Phone or video support is available depending on the plan and may incur additional fees.
2. Performance & ROI Disclaimer
No Guarantee of Results: While Badcook’n Studio implements industry-standard best practices for SEO and AEO, we cannot and do not guarantee any specific Return on Investment (ROI), search engine rankings, or traffic volume.
Third-Party Algorithms: Search and Answer Engine algorithms (e.g., Google, OpenAI, Gemini) are controlled by third parties and are subject to change without notice. Badcook’n Studio is not responsible for fluctuations in traffic or visibility due to these external changes.
3. Client Responsibilities
Content & Approvals: Provide all necessary content, assets, and approvals in a timely manner.
Content Ownership: Ensure all content supplied to Badcook’n Studio is owned or licensed appropriately by the client.
Review Timelines: Review and approve design drafts promptly to avoid project delays.
Project Delay & Dormancy: If a client fails to provide required content, feedback, or approvals within 14 business days of a request, the project may be paused and placed at the back of our production queue. Resuming a paused project may be subject to a standard project restart fee.
Domain Registration: Clients are strongly encouraged and expected to purchase and register their domain names independently using their own email and account credentials through a third-party provider of their choice (e.g., GoDaddy). The client maintains full legal ownership, management, and renewal responsibilities for their domain.
Acceptable Use: The client agrees not to use the website, blog, or hosting services for any illegal, defamatory, or harmful purposes. Badcook’n Studio reserves the right to suspend or terminate hosting and services immediately, without prior notice, if this condition is violated.
Account Security: Maintain confidentiality of website account login credentials.
4. Intellectual Property
Client Content: Client retains ownership of all provided content.
Indemnification: Client indemnifies Badcook’n Studio against any claims arising from intellectual property infringement related to client-supplied content.
Proprietary Tools: Badcook’n Studio and its partners retain all rights to proprietary tools, software, and the underlying hosting platform.
5. Accessibility Compliance
We strive to follow accessibility best practices and can integrate third-party tools (e.g., UserWay, AudioEye) upon request.
Legal Responsibility: Full compliance with applicable laws (ADA, WCAG) remains the client’s responsibility. We do not provide legal certifications regarding accessibility.
6. Billing & Payment Terms
Fees: Includes a one-time setup fee and recurring monthly service fees.
Payment: Due monthly in advance via Stripe or agreed methods.
Late Fees: Payments over 7 days late may result in immediate suspension of services.
Refunds: All fees are non-refundable.
Rate Adjustments: We reserve the right to adjust recurring fees with 30 days’ written notice.
7. Termination & Cancellation
Notice: Clients may cancel services with at least 15 days’ written notice.
Suspension: Hosting and platform access are suspended immediately upon cancellation or non-payment.
Data Export: Clients may request website export files within 30 days of cancellation. Please note that due to the proprietary nature of the Duda platform, some design elements or interactive features may not be transferable to other environments.
8. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Florida.
Any disputes will be resolved in Florida courts. Parties agree to attempt mediation before proceeding to litigation.
9. Limitation of Liability
Badcook’n Studio is not liable for indirect, incidental, or consequential damages.
Maximum Liability: Our total liability is strictly limited to the fees paid by the client in the 6 months prior to the claim.
10. Entire Agreement
These Terms, along with any signed project proposals, represent the entire agreement between the parties.
